JOB SUMMARY
Leads the legal function and, works closely with the Partners to support the execution of structured finance, project finance, asset finance, and corporate finance transactions, while overseeing corporate governance and company secretarial matters across our platform.
Responsibilities
ESSENTIAL JOB FUNCTIONS
Transaction & Deal Execution
-
Leads legal workstreams on structured finance, project finance, asset finance, and corporate finance transactions.

Supports transaction structuring alongside sponsors, lenders, DFIs, investors, and advisors.

Drafts, reviews, and negotiates key transaction documents, including term sheets, mandate letters, facility agreements (senior, mezzanine, ECA, trade finance), security documents, intercreditor arrangements, shareholders’ agreements, investment agreements, leases, PPAs, offtake agreements, concessions, and long-term service agreements.

Coordinates and manages external counsel across multiple jurisdictions, ensuring quality, consistency, and cost discipline.

Supports capital raises, co-investment structures, and platform-level structuring initiatives.

Leads the establishment and ongoing management of SPVs, holding companies, investment vehicles, and trusts across multiple jurisdictions.
Legal DD & Risk Management
-
Leads and coordinates legal due diligence on advisory and investment transactions.

Reviews corporate structures, ownership, key contracts, regulatory and licensing frameworks, and security enforceability.

Prepares and oversees legal DD reports, issues lists, and proposed mitigants.

Works closely with financial, technical, tax, and ESG advisors to ensure integrated transaction execution and risk management.
SPVs, Structuring & Platform Development
-
Leads and coordinates legal due diligence on advisory and investment transactions.
-
Reviews corporate structures, ownership, key contracts, regulatory and licensing frameworks, and security enforceability.

Prepares and oversees legal DD reports, issues lists, and proposed mitigants.

Works closely with financial, technical, tax, and ESG advisors to ensure integrated transaction execution and risk management.
Company Secretarial & Corporate Governance
-
Oversees all company secretarial matters for entities and transaction SPVs.
-
Manages board and shareholder processes, including board papers, resolutions, minutes, and statutory filings.

Maintains statutory registers, corporate records, and compliance calendars.

Coordinates annual filings, regulatory submissions, and ongoing compliance with local and international corporate requirements.

Liaises with company secretarial service providers and registrars across jurisdictions.
Contracts, NDAs & General Legal
-
Drafts, reviews, and manages NDAs, engagement letters, advisory agreements, and commercial contracts.

Establishes and maintains a contract management and precedent system.

Supports internal legal processes, risk controls, and documentation standards as the firm scales.
Corporate Strategy
-
Acts as a trusted legal advisor to the Partners on new business lines, products, and jurisdictions.

Supports regulatory, licensing, and compliance considerations (including advisory, investment, and SPV structures).

Develops standard templates, legal policies, and governance frameworks aligned with best-in-class investment banking and private equity platforms.
Qualifications

Bachelor’s degree in law (LLB) from any reputable institution.
-
Nigerian Bar qualification is required.

Additional international qualifications (LLM, UK qualification) are an added advantage.
Knowledge Requirements

In-depth knowledge of Nigerian corporate, commercial, and contract law.

Strong technical legal skills combined with commercial and financial acumen.

In- depth knowledge of employment and labour law, including disciplinary and termination procedures.

Understanding of data protection, confidentiality, and information security requirements.

Commercial awareness and understanding of how legal decisions impact business operations and strategy.

Experience

6-8 years’ experience in top-tier international law firms, leading Nigerian law firms (e.g. banking & finance, capital markets, project finance), or in-house roles at investment banks, DFIs, private equity or infrastructure funds, or advisory platforms.

Experience in infrastructure, power & energy, aviation, transport, digital infrastructure, oil & gas, or other real-asset sectors
-
Strong exposure to structured finance, project finance, banking & finance, or complex corporate transactions.

Experience in managing cross-border transactions and external counsel.
